LNITED RESTORATION GROUP 30 YEAR ROOFING WARRANTY
General Terms, Conditions, and Limitations
Agreement Overview:
This Roofing Warranty ("Warranty") is provided by United Restoration Group, LLC, a New York limited liability company ("United"), to the building owner ("Owner") named herein, encompassing the System(s) or Material(s) detailed within. This comprehensive Warranty comprises various pages, collectively constituting the definitive terms and conditions. Further requirements, stipulations, exceptions, and restrictions are delineated in subsequent sections. In cases of discrepancy between the General Terms, Conditions, and Limitations below and those in later sections, the latter shall take precedence.
Payment Requirement:
United's commitment under this Limited Warranty is contingent upon full remittance for all associated expenses, including but not limited to materials, services, approved written change orders, warranty costs, and incidental costs inherent to the System or Materials. In instances necessitating future repairs not covered by this Warranty, United retains the prerogative to suspend Warranty coverage until such repairs are remunerated in full, either to the licensed applicator and/or United.
Exclusions:
United bears no obligation under this Warranty if claims or damage arise from the following:
1. Natural Forces and Acts of God: This includes but is not limited to fires, hurricanes (irrespective of wind speed), tornadoes, microbursts, wind-blown debris, lightning, earthquakes, volcanic activity, atomic radiation, insects, or animals.
2. Human Acts and Related Events: This encompasses the actions, conduct, omissions of any individual, as well as acts of war, terrorism, or vandalism causing damage to the System or Materials or impairing their intended performance.
3. Owner Negligence: Failure on the part of the Owner to exercise reasonable care in maintaining the System or Materials.
4. Building Component Issues: This encompasses the deterioration, defects, or failures of building components unrelated to the roofing system, including substrates, structural elements, walls, mortar, HVAC units, skylights, foundation settlement, or the detachment of wood nailers from the structure.
5. Moisture-Related Issues: This pertains to construction-generated moisture, condensation, infiltration of moisture in, from, through, or around walls, copings, rooftop hardware, skylights, building structure, or underlying/surrounding materials.
6. Chemical Damage: This includes harm caused by acid, oil, harmful chemicals, or chemical reactions between them.
7. Unauthorized Alterations or Repairs: Any changes or repairs to the System or Materials not executed by United.
8. Metal Material Deterioration: Deterioration of metal materials and accessories due to exposure to marine saltwater, atmospheric conditions, or regular salt or freshwater spray.
9. Non-United Materials: Failure of any materials not installed by United but incorporated into future System or Installation without explicit written acceptance by United for warranty coverage.
10. Change in Building Use or Purpose: Any alteration in the building's intended use or purpose not pre-approved by United.
Unauthorized Alterations: Failure to obtain United’s approval for a roof modification, or failure to provide required documentation, shall render this Limited Warranty null and void.
Overburden:
The Owner assumes responsibility for all expenses associated with the removal and replacement of any overburden, superstrata, or overlays, whether permanent or temporary. This includes, though is not confined to, structures or assemblies added after the initial installation, fixtures, utilities on or through the System or Material, support platforms or bases for Photovoltaic (PV) Arrays (commonly referred to as Solar Panels), Garden Roofs, Decks, Patios, or any obstructions hindering access, clear observation, investigation, or repairs to the System or Materials. Exceptions may apply to ballast or pavers accepted by United or overburden specifically included in subsequent sections of this Limited Warranty.
Warranty Term:
The term of this Limited Warranty, as specified in this document and subsequent pages, shall not be extended under any circumstances without the express written approval of United.
Access:
Throughout the duration of this Limited Warranty, United's designated representatives or employees shall be accorded unrestricted access to the installation location during regular business hours for purposes of inspection, audit, or repair. In instances where access is curtailed due to security or other constraints, the Owner shall indemnify United for all reasonable costs arising from inspection and/or repair of the System or Materials, which are attributable to delays associated with such restrictions.
Waiver & Severability:
United's non-enforcement of any terms or conditions herein shall not be construed as a waiver of said provisions or any other stipulations within this Limited Warranty. If any portion of this Limited Warranty is deemed invalid, void, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force.
Dispute Resolution:
Any disputes, controversies, or claims arising between the Owner and United in connection with this Limited Warranty, or regarding any materials supplied or specifically required by United, shall be subject to mediation in Putnam County, New York. In the event that the Owner and United do not resolve the dispute through mediation, both parties agree not to initiate or prosecute any legal action, proceeding, or claim except within the state and federal courts situated in Queens County, New York. Each party hereby irrevocably consents to the jurisdiction and venue of these courts. Moreover, the Owner releases United from any liability to the Owner's insurance carrier or any party making a claim through subrogation or otherwise.
Non-disparagement:
The effectiveness of this Limited Warranty is subject to the absence of publicly posted disparaging comments regarding United Restoration Group, LLC and its services on online platforms or any other medium. Should such disparaging comments be identified, this Limited Warranty shall be deemed null and void until such comments are removed by the responsible party.
Governing Law:
This Limited Warranty is governed by and construed in accordance with the laws of the state of New York, without regard to its principles governing conflicts of laws.
Liability Disclaimer:
United explicitly disclaims any liability, under any legal theory, arising from the installation of, performance of, or damages sustained by or caused by products not provided by United. This Limited Warranty supersedes and replaces all other warranties, whether express or implied, including, but not limited to, warranties of merchantability and fitness for a particular purpose. United hereby disclaims all such warranties. The Owner's sole and exclusive remedy against United is limited to the repair of warranted leaks. United shall not be liable for any consequential, special, incidental, or other damages, including but not limited to loss of profits or damage to the building, its contents, substrates, or the roof deck.
Modifications:
This Limited Warranty may not be amended, altered, or modified in any way except through written agreement signed by an authorized officer of United. No other individual possesses the authority to bind United with any representation or warranty, whether oral or written.
